1. Authorization and Liability
Both the carrier and driver are duly authorized to transport the motor vehicle from the pickup location to the designated destination. While VERTEX CARSHIP Inc. will endeavor to confirm a driver for the estimated date and price, specific pickup or delivery dates cannot be guaranteed due to carrier schedules, mechanical issues, adverse weather conditions, or other unforeseen circumstances. VERTEX CARSHIP Inc. is not liable for charges or liabilities arising from delays, including airline tickets or rental car fees. The carrier’s schedule will be communicated to the client upon dispatch.


2. Exclusive Shipping Agreement
By selecting a shipping option, the client agrees to an exclusive arrangement with Vertex Carship and commits not to engage the services of any other broker or carrier during this period. Any violation of this agreement will result in the upfront amount charged being non-refundable. Please note that the initial price provided is an estimated quote designed to help you plan your budget. The final price may vary based on factors such as carrier availability, scheduling, weather conditions, or unforeseen circumstances. The confirmed price will be communicated after signing the contract with the carrier company or when we provide the dispatch details. If there is any difference in the final price, it will be disclosed to you prior to dispatching the driver.


3. Door-to-Door Transport
Contracted carriers provide door-to-door transport where feasible. If access is restricted due to narrow streets, low-hanging trees, or tight turns, the driver may request to meet at a nearby large parking area, such as a grocery store parking lot.


4. Personal Items in Vehicle
Carriers are not licensed or insured to transport personal or household goods. However, we acknowledge that you may wish to place some items in the vehicle. The carrier will not be held responsible for any damage resulting from excessive or improper loading of personal items. Such items must be placed in the trunk and are limited to a maximum weight of 100 lbs (45 kg), unless prior approval is obtained from VERTEX CARSHIP Inc. Additional fees may apply for personal items including and exceeding this weight limit. Any misrepresentation of personal belongings will result in a price adjustment and a dry run fee of $150 if the carrier attends the pickup and the shipment differs from the expected arrangement. Should a carrier be dispatched and the vehicle is not ready as indicated by the shipper, an additional rescheduling fee of $75.00 will apply. In the event that the shipper is unavailable for pickup or delivery, an alternate representative must be designated.


5. Vehicle Condition Requirements
Vehicles must be in good running condition with no more than half a tank of fuel when handed over to the carrier. The carrier is not liable for damage caused by leaking fluids, freezing, exhaust systems, or unsecured antennas. Claims for loss or damage must be noted and signed on the condition report upon delivery.


6. Insurance Coverage
Contracted carriers maintain cargo insurance ranging from $100,000 to $250,000 per load and a minimum of three-quarters of a million dollars in public liability and property damage coverage. Damage incurred during transport is the carrier’s responsibility, not VERTEX CARSHIP Inc.’s. In the event of damage, VERTEX CARSHIP Inc. will provide the necessary insurance packet for filing a claim. All claims must be noted, signed, and submitted in writing within 3 days of the incident.

7. Inspection Report (Bill of Lading/BOL)
Clients must never release or receive a vehicle without obtaining and documenting an inspection report (BOL), regardless of the time of day or weather conditions. This report is crucial for noting the vehicle’s condition before and after transport. Any damage must be recorded on the final inspection report and signed by the driver. Failure to document damages on the BOL or to have it signed by the driver will release the carrier from liability and forfeit the client’s right to file a damage claim.

Upon receiving a delivery, clients are required to contact their dedicated agent before signing the BOL and follow the provided instructions. If the client fails to call or update their agent before signing the BOL, or if they do not sign a BOL at all, VERTEX CARSHIP Inc. will not be liable for filing a claim in the event of any damage.

8. Non-Operational Vehicles
A non-operational fee of $150.00 will be assessed for all non-running vehicles. If the vehicle becomes non-operational during transport, this fee will be added to the original quote.

9. Text Messaging Terms and Privacy
Vertex Carship provides SMS-based communication services to enhance the efficiency and transparency of car transportation operations. These messages deliver essential updates, including appointment reminders, trip progress notifications, customer support communications, and driver coordination details, ensuring smooth and timely operations. Customers must provide explicit consent to receive SMS messages, which can be granted through text, website forms, verbal agreements, or written authorization. By signing this contract, you agree to authorize Vertex Carship to send text messages to the provided phone number.

Message frequency typically ranges from 3–4 messages per day, depending on the service type and trip requirements. Customers can opt out of receiving SMS messages at any time by replying STOP to any text message. To resume communications, they may reply START or contact Vertex Carship’s support team. Standard messaging and data rates may apply based on the customer’s mobile carrier plan. 10. Cancellation and Refunds
VERTEX CARSHIP Inc. strives to promptly assign a carrier in accordance with your instructions but cannot guarantee specific pickup or delivery dates. If an order is canceled by the customer within 7 days of the requested pickup date, a cancellation fee of $200 will apply, and the customer will not be eligible to file a chargeback. For payments made using Visa or debit cards, a 7% merchant processing fee will be applied to the total charge price. In the event of a refund, the merchant processing fee will not be refunded; only the actual amount paid will be returned. 11. Payment Methods
Payments can be made through various methods, including Cash App, Apple Pay, Google Pay, Zelle, wire transfer, direct bank transfer, Venmo, or the direct portal card system. Please note that Vertex Carship Inc. is not responsible for payments made outside the company’s official accounts. Clients are required to verify account details directly with our billing department by emailing billing@vertexcarship.com or calling our helpline at (929) 999-7901 Ext 401.

Chargebacks are not authorized under any circumstances. However, a cashback option is available for cancellations made at least seven days prior to the dispatch date by contacting your agent. By accepting the transport terms, the client agrees to and authorizes upfront payment via credit or debit card, check by phone, mail, or ACH payment.

12. Legal Jurisdiction
This agreement is governed by the laws of the State of Texas. Any legal action arising from this agreement must be filed in a Texas court of competent jurisdiction. VERTEX CARSHIP Inc.’s liability is limited to the broker’s fee only. The client consents to the jurisdiction of Texas courts.

13. Upon Delivery
The remaining balance for the service is due upon delivery and must be paid in full to the authorized transporter dispatched by Vertex Carship. The payment must be made using cash, a cashier’s check, or a money order as agreed upon in the terms of service.

By accepting the transport terms provided by VERTEX CARSHIP Inc., the client authorizes an upfront payment via credit or debit card, check by phone, mail, or ACH payment. The client acknowledges that the remaining balance is due upon delivery and must be paid in full by cash, cashier’s check, or money order to the authorized / dispatched transporter by vertex carship.
